Furniture Manufacturer

Financial Advisor to the management of a publicly traded furniture business.  Structured, sourced and arranged senior debt and equity for management team.  During the process the company needed to find a new secured lender due to covenant defaults which would have resulted in a “going concern warning”.  The company retained Jay to find a new facility which closed in less than 90 days. The deal had significant complexities including the company “going dark” during the process, ESOP negotiations and competing with other bidders.

Business Services Firm

Earl Corporate Advisors  ("Earl") was retained to assist a partner in the process of exiting a business services firm in valuing the partner's interests in his partnerships.  The Partnership and the partner disputed the value to be used pursuant to a Management Operating Agreement.

After a thorough review of the Partnership's financial statements, Earl developed recast figures and a narrative to show why the Partnership's initial valuation was too low.  

Based upon the valuation and supporting narrative supplied by Earl, the parties agreed to a premium figure that was 40% higher than the original offer.
